Terms and Procedures

At UNZILAA, we value transparency and professionalism in every business interaction. To ensure a smooth and successful transaction process, we kindly request our esteemed buyers to familiarise themselves with our procedures and terms. By doing so, you can confidently engage with us and adhere to the agreed-upon deadlines.

Key Points to Note :

  • No LOI (Letter of Intent): Please refrain from sending a Letter of Intent (LOI) as most of these are typically discarded upon receipt. We encourage you to engage directly with us through our established procedures.
  • Define you demand: Product Type, Total Quantity, Port Of Destination, Target Price, etc.
  • Check whether your company is ready to issue a Financial Instrument like: SBLC or DLC through one of the 50 Largest Banks in the World.
  • Request a Quote.

 

Procedures

  1. Initial Assessment :
    • Review the supply proposal to confirm your company’s ability to pay the quoted price.
    • Ensure your company can issue a financial instrument through one of the TOP 50 banks globally which are recognised and accepted for such transactions and documentation procedures.
  1. ICPO Submission :
    • Submit an ICPO (Corporate Irrevocable Purchase Order) including complete buyer information, especially details about the issuing or confirming bank. It is essential that the bank is within the TOP 50 bank list which is recognized and accepted for such transactions and documentation procedures.
    • The ICPO should be in PDF format on company letterhead, containing comprehensive banking and business information.
  1. FCO and BCL :
    • The seller issues a Full Corporate Offer (FCO).
    • The buyer returns the signed and stamped FCO and provides the BCL (Bank Comfort Letter).
  1. Contract Draft :
    • Upon receiving the approved FCO, the seller issues a Contract Draft (SPA).
    • Buyer returns the signed, stamped, and scanned Draft Contract via email, making it the official Purchase and Sale Contract until exchanged.
  1. Commercial Invoice :
    • Seller issues a Commercial Invoice.
  1. Bank Instrument Approval :
    • The buyer’s bank issues the SBLC/ARDLC/DLC or LC draft for approval by the seller’s bank or financial sector.
    • The seller returns the bank instrument with necessary changes or approvals.
  1. Issuance of Bank Instrument :
    • Buyer’s bank issues the SBLC/ARDLC/DLC or LC (MT 700/760) as a guarantee within 15 working days. The instrument must meet specific criteria, such as being transferable, irrevocable, and confirmed by a TOP 50 banks which are recognised and accepted for such transactions and documentation procedures.
  1. Performance Bond (PB) :
    • Seller’s bank sends a Performance Bond (PB) of 2% within 12 working days after the banking instrument is active.
    • Proof of Product (POP) is provided within 15 days for any payment form.
  1. Shipment Preparation :
    • Buyer receives an invitation letter if required for accompanying the shipment at the port.
  1. Shipment and Payment :
    • The shipment is loaded within 35/45 days, with potential for earlier loading.
    • Payment is made against the Bill of Lading (BL) and SGS shipping documents, as specified above in item 8.

Please Note :

  • We maintain a high level of confidentiality and security. Therefore, we do not share BL, shipping inspection certificates, or physical samples.
  • Our commitment to safeguarding our suppliers’ privacy and identity means we do not share photos or videos.

GUIDE TO PAYMENT

Payment Methods

At Unzilaa, we offer flexible and secure payment options to facilitate smooth transactions for our valued clients. Please review the following payment methods available for your convenience:

Fractional Orders in Container

  • For fractional orders in containers, the payment is divided into two instalments.
  • 30% Advance Payment: This payment is made against the pro forma invoice to initiate the order.
  • 70% Final Payment: After the shipping documents are sent, the remaining balance is payable prior to finalising the transaction.

SBLC + MT 103

  • Secure your order with an SBLC (Standby Letter of Credit) equivalent to one month’s supply value.
  • The SBLC has a maturity period of 1 year and 1 day, ensuring the stability of the transaction.
  • The SBLC is irrevocable, unconditional, transferable, and divisible.
  • The issuing bank must be among the TOP 50 banks.
  • Payment for boarding the MT 103 is arranged through the SBLC.

DLC at Sight

  • Choose the convenience of a Documentary Letter of Credit (DLC) at sight for your transactions.
  • The DLC is conditional, irrevocable, transferable, and divisible, ensuring a secure transaction process.
  • The issuing bank must also be among the TOP 50 banks.

Payment against BL and SGS Shipping Documents:

As mentioned earlier, payment is processed against the submission of Bill of Lading (BL) and SGS shipping documents. We prioritise transparency and quality assurance in our transactions.
